Member Terms

1. Definition of Confidential Information (with a member-specific exclusion):

• "For the purposes of this Agreement, 'Confidential Information' shall include any and all information disclosed by either party (including other members of the V20) to the other, whether orally, in writing, electronically, or by any other means, relating to V20 Group. However, Confidential Information shall specifically exclude information that is shared by one member to another member within the confines of the V20 Group platform."

2. Acknowledgment of Risk and Waiver of Liability:

• "Receiving Party acknowledges that information shared between members within the V20  platform is done so at the sole risk of the disclosing member. Disclosing Party, V20 Group LLC, shall not be held liable for any unauthorized use, disclosure, or misappropriation of information shared between members. Receiving Party explicitly waives any and all claims against Disclosing Party, V20 Group LLC, arising from or related to the sharing of information between members."
• "Receiving Party understands that V20 Group LLC does not monitor or control the information shared between members and makes no warranties or representations regarding the confidentiality or security of such information."
• "Receiving party understands that any intellectual property that is shared between members is done so at the members own risk, and that V20 Group LLC will not be held liable for any intellectual property disputes that may arise between members."

3. Member Responsibility:

• "Receiving Party acknowledges and agrees that it is solely responsible for protecting its own confidential information and intellectual property when sharing it with other members within the V20 platform."
• "Receiving Party agrees to exercise caution and discretion when sharing information with other members and to refrain from sharing any information that it considers to be highly sensitive or proprietary."

4. No Endorsement or Warranty:

• "V20 Group LLC does not endorse or warrant the accuracy, completeness, or reliability of any information shared between members. Any reliance on such information is at the Receiving Party's own risk."

5. Indemnification:

• "Receiving Party agrees to indemnify, defend, and hold harmless Disclosing Party, V20 Group LLC, and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable ¹ attorneys' fees) arising from or related to ² Receiving Party's sharing of information with other members within the V20 platform."
